Turn signed contracts into an obligation register

Make signed commitments visible with clause-linked owners and deadlines. Surface renewal notice windows early enough for an owner decision, with dated context when available.

6 implementation stepsIntermediate

How this works

Make contract commitments visible after signing. Keep deadlines, renewal windows and responsibilities connected to their clauses.

Translate signed commitments into owned operational records. Distinguish absolute dates from dates calculated after an event, and keep renewal options separate from duties that already apply.

For vendor renewals within the agreed review horizon, surface the notice cutoff before the renewal date and attach a short, dated decision brief. Usage and pricing context helps the owner prepare; it does not authorize renewing, cancelling or changing purchased capacity.

Before you start

Defined operating scope

Your team tracks recurring contractual duties across people and systems.

Required source material

Obtain Signed contract; Obligation fields; Owner directory. If connectors are unavailable, use authorized files with the same fields.

Decision and exception rules

A deadline depends on an unknown acceptance date. Store the relative timing rule and request the triggering date.

Prepare the inputs

agreement_id
Required

String

Match the signed agreement and amendment set.

clauses
Required

Text with section and page references

Preserve wording for obligations and exceptions.

effective_events
Required

Map of event to confirmed date

An unconfirmed event leaves dependent dates unknown.

owner_directory
Required

Role-to-owner map

Assign only owners whose responsibility is confirmed.

renewal_review_context
Optional / conditional

Optional review horizon, internal decision lead time, contract tier and authorized usage or current pricing evidence

Use only for agreements with renewal review in scope. Match usage to the contracted unit and period; date and qualify public prices. Missing usage or prices must not suppress a valid notice deadline.

Implementation, step by step

  1. Establish the working record

    • Confirm the selected records, effective versions and responsible owner.
    • Check agreement_id, clauses, effective_events, owner_directory before beginning. Record the source version and the selected scope; an unavailable value stays unknown rather than becoming an inferred fact.
    • For a periodic watch, select the authorized contract set and review horizon. Record the inventory cutoff and any unavailable agreements instead of claiming every renewal is covered.

Checkpoint: The input record identifies the selected agreement_id and any missing required fields.

  2. Extract obligations and dates with clause references

    • Extract the actor, required action, beneficiary, timing rule and evidence of completion for each obligation.
    • Recompute relative dates from the recorded event and stated calendar convention.
    • For a renewal, store the renewal date, automatic-renewal condition, notice deadline and notice delivery method separately. A reminder on the renewal date may be too late to preserve an option.

Checkpoint: Each obligation has a clause reference and timing rule; renewal and notice dates remain separate.

  3. Flag ambiguous deadlines and missing responsible owners

    • Calculate dates only from confirmed triggering events, recording the timezone and business-day convention where relevant.
    • Verify that each obligation has its actor, timing rule, clause and assigned or explicitly missing owner.
    • Where a confirmed notice deadline exists, propose an earlier internal decision date using the owner’s lead time. Preserve the contractual date even when the proposed internal date is already past; escalate the short runway for review.

Checkpoint: Unknown dates remain unresolved, and upcoming notice windows identify their next responsible owner action.

  4. Ask legal and operational owners to verify entries

    • Ask the legal or operational owner to resolve ambiguous obligations and proposed assignments before activating reminders.
    • For an upcoming renewal, prepare an optional one-page brief with the contracted tier, observed usage period, current cost and dated comparable pricing. Label proposals to renew, renegotiate or cancel as owner decisions; do not choose one from usage alone.
    • Check currency, taxes, term length, billing unit, support and included features before comparing prices. A public list price is context rather than an available contractual offer. Keep mismatches or missing context visible.

Checkpoint: The owner can review clause interpretation and, when relevant, a dated renewal brief with explicit comparison limits.

  5. Create approved reminders and track subsequent contract amendments

    • Save the reviewed register with agreement version; a new amendment creates a revision and re-evaluates affected obligations rather than silently replacing history.
    • Maintain a renewal watch ordered by the next action deadline rather than renewal date alone. Reuse the agreement and version identifier across sweeps; keep the previous review and owner decision instead of creating duplicate renewal tasks.

Checkpoint: Approved reminders and current renewal watch entries match the governing versions without duplicates.

  6. Package the result and unresolved work

    • Owners confirm interpretation, dates and assignments before reminders become active.
    • Interpretations remain subject to qualified review; extracted clauses are not legal approval.
    • Hand an owner-approved cancellation to the subscription-exit process, and a negotiation to its accountable owner. Record the decision separately from any vendor acknowledgement or applied account change.

Checkpoint: The reviewed register retains obligations, upcoming decisions, unanswered questions and verified action status.

Decisions along the way

A deadline depends on an unknown acceptance date.

Store the relative timing rule and request the triggering date.

No owner matches a contractual role.

Leave the item unassigned and route it to the contract owner.

An amendment changes a reminder already scheduled.

Suspend the affected reminder, reconcile the clause revision and replace it only within authorized scope.

The renewal date lies beyond the review horizon but its notice cutoff falls inside it

Include the notice action in the current watch. Do not filter solely by renewal date.

A notice deadline is known but usage or current pricing is unavailable

Keep the deadline visible and issue a partial decision brief with the missing context and owner; do not delay the alert.

A current public price appears lower than the contract rate

Show the dated comparison and differences for negotiation review. Do not call it guaranteed savings or change the subscription.

The contract renews automatically unless notice is given

Record the clause and required notice route. Silence from the owner is not authorization to cancel or confirmation that notice was served.

renewal-watch.csv

CSV

Conditional output for renewal reviews: upcoming owner decisions and notice windows, distinct from completed vendor actions.

Include: agreement_id · version · reviewed_at · renewal_date · auto_renewal_condition · notice_deadline · notice_method · internal_decision_date · owner · usage_period · pricing_as_of · comparison_limits · decision_state · next_action · evidence_refs

Check the result

  • Recompute relative dates from the recorded event and stated calendar convention.
  • Verify that each obligation has its actor, timing rule, clause and assigned or explicitly missing owner.
  • Inspect agreement_id and clauses in both the original and output; confirm that record identity and interpretation survived the transformation.
  • Owners confirm interpretation, dates and assignments before reminders become active.
  • Check the watch for agreements whose notice cutoff falls in the horizon even when renewal itself is later.
  • Keep public prices and observed usage dated and comparable; unknown context cannot become zero usage or guaranteed savings.
  • Separate owner decisions from notices actually submitted and vendor-confirmed changes.

When something goes wrong

A deadline depends on an unknown acceptance date.

Store the relative timing rule and request the triggering date. Retain the affected evidence and recovery status.

No owner matches a contractual role.

Leave the item unassigned and route it to the contract owner. Retain the affected evidence and recovery status.

An amendment changes a reminder already scheduled.

Suspend the affected reminder, reconcile the clause revision and replace it only within authorized scope. Retain the affected evidence and recovery status.

The contract inventory or usage export is incomplete

State inventory coverage and preserve known deadlines. Mark the brief partial and route missing records to the contract owner.

A worked example

SYNTHETIC EXAMPLE · NOT A REPORTED BUSINESS RESULT

Request

Turn signed contracts into an obligation register for the following bounded example; prepare the result for review.

Inputs

Synthetic example: Agreement C-7 requires a report 10 calendar days after acceptance and permits renewal with notice by 15 November. Acceptance has not been recorded. A second vendor agreement renews on 15 March, but notice is due by 14 January. The watch runs on 1 January for the next 30 days. Its usage export is unavailable.

Expected result

Synthetic expected result: Report due date remains unknown with rule acceptance plus 10 days. Renewal notice is tracked as an option deadline, not an automatic renewal commitment. Include the second agreement in the January watch because its notice deadline is in scope, even though renewal is later. Keep usage unknown, assign the decision brief to the owner and do not infer cancellation or missed notice.

Run a small pilot

Start small

Trial a representative batch containing the ordinary case and the exception demonstrated above.

Record the baseline

Record current preparation time, review effort and correction types for the same records.

Agree success criteria

Agree acceptable review and error limits; measure registration time; missed or incorrectly recorded obligations.

Stop or revise

An amendment changes a reminder already scheduled. Pause affected records and apply this recovery: Suspend the affected reminder, reconcile the clause revision and replace it only within authorized scope.

Keep the scope clear

  • Interpretations remain subject to qualified review; extracted clauses are not legal approval.
  • Creating local reminders is allowed within the requested scope; notifying counterparties or changing contract terms requires authorization.
  • A renewal watch does not reclaim seats, choose vendors or accept prices. Those decisions and actions remain with their separately authorized owners.

Check before using

Owners confirm interpretation, dates and assignments before reminders become active.
